GENERAL TERMS AND CONDITIONS (GTC)

 

1. Scope of Work

The scope of supply and services shall be based on our quotation, order confirmation and agreed technical specifications. Any work or materials not expressly included shall be considered additional work.

 

2. Prices

All prices are net prices excluding VAT unless otherwise stated. Prices are based on the project information available at the time of quotation.

If technical specifications, quantities or material descriptions are unclear or changed, prices may be adjusted accordingly.

 

3. Payment

Payment terms shall be stated in our quotation or order confirmation.

Materials may be purchased in batches according to project requirements. Advance payment may be required for materials and project-specific components.

 

4. Delivery Time

Delivery times are based on the information available at the time of order.

Delays caused by the Customer, suppliers, material shortages, transportation, force majeure or other circumstances beyond our reasonable control shall extend the delivery schedule accordingly.

 

5. Project Changes

Any changes to the agreed scope, hardware, software, drawings, functions or technical requirements requested by the Customer may result in additional costs and an extension of the project schedule.

Additional work will be charged separately.

 

 

6. Customer Responsibilities

The Customer shall provide all necessary technical information, drawings, access to equipment, production materials and other required support in a timely manner.

Delays or additional work caused by missing or incorrect information may be charged separately.

 

7. Acceptance

The project shall be considered ready for acceptance when the agreed main functions have been completed.

Minor defects or outstanding items that do not materially affect normal operation shall not be grounds for refusing acceptance.

 

8. Warranty

We will correct defects resulting from our own engineering, programming or workmanship within the agreed warranty period.

The warranty does not cover defects caused by misuse, normal wear, third-party modifications, Customer modifications or equipment outside our scope of supply.

 

9. Software and Documentation

Our standard software modules, libraries, know-how and engineering methods remain our intellectual property.

Project-specific software and documentation may be used by the Customer for operation and maintenance of the relevant system.

 

10. Liability

Our liability shall be limited to the extent permitted by applicable law.

We shall not be liable for production losses, loss of profit, downtime or indirect/consequential damages unless such liability cannot legally be excluded.

 

11. Project Cancellation

If the Customer cancels or suspends the project, all completed work, engineering hours, ordered materials and non-cancellable costs shall be paid by the Customer.

 

12. Applicable Law

Unless otherwise agreed, German law shall apply.

These GTC apply to business customers (B2B) only.
